NS Board Vote Totals Certified

Vote totals for the board of directors of Norfolk Southern were certified this week by an independent inspector of elections, First Coast Results.

The tally showed that elected to the board for one-year terms were Richard Anderson, William Clyburn Jr., Philip Davidson, Francesca DeBiase, Marcela Donadio, Sameh Fahmy, Mary Kathryn Heitkamp, John Huffard Jr., Christopher Jones, Thomas Kelleher, Gilbert Lamphere, Claude Mongeau and NS President and CEO Alan Shaw.

Anderson, Clyburn, Fahmy, Heitkamp and Lamphere are new to the board.

The audit showed that Shaw received the backing of 64.1 percent of shareholders who voted.

That is well above the 50 percent share that Ancora Holdings, which waged a proxy fight for control of the NS board, said he received.

James Barber Jr., who Ancora nominated and said would become NS CEO if the investment firm’s candidates became the majority, was supported by 34.9 percent of shareholders.

Of the 20 board candidates, Shaw ranked ninth in terms of total votes received, while Barber ranked 19th.

Three of Ancora’s seven candidates gained seats on the NS board. They included Lamphere, Fahmy and Clyburn.

Three incumbent NS board members were voted out. They included Jennifer Scanlon, Amy Miles and John Thompson.
